VCSvideo TERMS & CONDITIONS
Production / Editing / Duplication

All orders placed with VCSvideo by and for the account of the Customer, are subject to the following terms and conditions.

SHIPPING
All materials will be shipped to and from VCSvideo at the customer's risk and expense.

GENERAL LIABILITY
Customer shall indemnify and hold VCSvideo harmless from all suits, claims, demands and other liabilities and expenses (including reasonable counsel fees arising out of or in connection with any goods or services furnished by VCSvideo. VCSvideo shall not be liable for loss of any kind due delays or failure in performance by it or any other agency. All work is accepted on the basis that copyright in the material supplied by the customer is vested in the customer.

LIEN
VCSvideo shall have a lien on client's property in the possession of VCSvideo to secure payment of outstanding invoices.

WARRANTY
Since the intrinsic value of the customer's film or tape clearly exceeds and bears no relationship to charges for transfer, duplication, editing and other services, VCSvideo, in accord with general practice in the video industry, assumes no responsibility for the loss or damage from any cause whatsoever, including loss resulting from the negligence of VCSvideo employees. Should a videotape transfer, duplication, or edited video program be found defective, VCSvideo will repair or replace such defects if the material is returned to VCSvideo and written notification is given within 10 days of receipt of such material. In no event shall VCSvideo be responsible for consequential damages. Customers waives any claim for adjustment in billing which is not timely, presented according to the provisions of this paragraph. CUSTOMER SHOULD, THEREFORE, INSURE FOR ASSESSED VALUE, ALL FILMS AND TAPES DELIVERED TO THIS COMPANY AGAINST ALL RISKS.


STORAGE
Customer's property is received, processed, and stored by VCSvideo solely at the customer's risk. VCSvideo shall not be liable for loss, damage, or destruction of such property, or for delivery delays. In no event shall VCSvideo be liable for more than the replacement value of the customer's raw stock. VCSvideo will store customer's materials for a period of up to 90 days after conclusion of work (upon customer's request). Within 30 days after written notification from VCSvideo, customer agrees to remove, at customer's expense, all materials in storage. In the event the customer does not remove such materials, VCSvideo shall have the right to destroy or otherwise dispose of such material without liability to VCSvideo or any other person. Customer agrees to indemnify and hold VCSvideo harmless from all liability arising out of or connected with VCSvideo's destruction or disposition of such materials. It is the customer's responsibility to notify VCSvideo of any change in the customer's address.

CUSTOMER SUPPLIED MATERIALS
If customer supplies old and/or imperfect materials to be used by VCSvideo in producing specific goods or services, VCSvideo will not be responsible for the quality resulting from the use of such materials.

TERMS
Terms are C.O.D. until credit has been established. Established accounts will be billed net 30 days. Service charges of 1.5% per month shall accrue to accounts outstanding more than 30 day. VCSvideo retains ownership of all edited and source video tapes until payment for the production of these materials is received in full.

SALES TAX
All rates are subject to applicable sales tax unless a valid NJ State Sales Tax Exemption Certificate is presented to VCSvideo for its records.

CANCELLATION
Cancellation Policy (unless otherwise agreed in writing):  Cancellation within  four (4) full business days of the scheduled work will result in a charge of 50% of the services and equipment scheduled. Cancellation within  three (3) full business days or less of the scheduled work will result in a charge of 100% of the services and equipment scheduled.
(Business days are Monday through Friday and do not include Saturdays, Sundays or Holidays.)
Additionally, in the event of cancellation, VCSvideo will be entitled to compensation for services performed and materials furnished up to the time of cancellation in accordance with VCSvideo' established rate card charges.  VCSvideo will also be entitled to reimbursement for any and all expenses incurred resulting from
and relating to this cancellation.
